Terms of Service

Last updated 13 October 2026 · Version 2026-10-13

These terms are the agreement between you and Eminence Technologies LLC when you use Ratably. They apply from the moment you tick the box that links to this page.

The short version. Ratably is software that compares your landlord's statement with your lease and shows its arithmetic. It is not legal or accounting advice, and we are not your lawyer or your accountant. If a check fails to produce a report, we refund it. Disputes go to the courts in Denver, Colorado.

1. Who you are contracting with

Ratably is operated by Eminence Technologies LLC, a Colorado limited liability company, at 1500 N Grant St, Ste N, Denver, CO 80203. "We", "us" and "our" mean that company. "You" means the person or business using the service.

You must be at least 18 and using Ratably for business purposes in the United States. Ratably is not offered for personal or household use.

2. What the service does

Ratably reads a commercial lease and tests the figures from the landlord's year-end common area maintenance or operating-expense reconciliation, which you enter, against the terms in the lease. It produces a report showing the arithmetic behind each finding and naming the kind of lease provision each test relies on (a general label, not a citation to a page or clause of your lease), and a draft letter you can edit and send to your landlord.

Findings are produced by software, including an AI model that extracts terms from your lease. They can be wrong. You are responsible for checking them against your own documents before you act on them or send anything to your landlord. The draft letter is an editable starting point; we do not act as your legal representative or advocate.

3. What the service is not

If you need advice, take the report to your attorney, CPA or tenant-rep broker.

4. Your account

You are responsible for what happens under your account and for keeping your password to yourself. Tell us at support@ratably.io if you think someone else has access. We may suspend an account that is being used in breach of these terms.

5. Fees, check credits and expiry

Prices are shown on the site and charged at the time of purchase through Stripe. We never see or store your card details.

Pre-order: 2026 statement preparation. Ratably plans to open statement preparation in January 2027: it will prepare each tenant's 2026 year-end statement from your leases and your expense ledger, for the lease structures it supports. You can pre-order statement preparation for 1, 5 or 10 buildings. A pre-order is a one-time payment for statement preparation for the 2026 statement year for that number of buildings. It does not include check credits. The Terms version in force when you pre-order governs its price and refund rights.

Prices exclude tax. Where we are required to collect sales tax, it is added at checkout and shown before you pay.

6. Refunds

Our refund policy forms part of these terms. In short: if a check fails to produce a report, we refund it, and duplicate charges are refunded in full.

A pre-order of 2026 statement preparation (section 5) is refunded for a building in three cases:

The refund policy sets out the amounts. If this summary and the refund policy differ, the refund policy governs.

7. Your documents and your choices

7.1 Ownership. You keep ownership of the documents you upload and of the terms we extract from them ("Lease Data").

7.2 Processing and retention. You let us process Lease Data to provide the service. We do not keep the documents themselves. We keep extracted Lease Data according to the choice you make for each upload:

7.3 Our statistics. If you opt in, you also let us use generalised figures from Lease Data you keep under 7.2(a) or (b), such as size bands, percentage bands and cap types, in our own statistics, to learn which lease terms are common and to improve our checks. Statistics are off unless you opt in: you can opt a single lease in when you upload it, or switch statistics on for every lease in your account. We do not use Lease Data you did not keep, Lease Data from a lease you tell us limits sharing, Lease Data from a lease in which we find a confidentiality clause or which has pages we could not read, or Lease Data from checks run before these choices were offered. We do not publish or share these statistics outside Ratably, and we will not try to identify you, your landlord or your property from them. If you switch statistics off in your account, we stop using your Lease Data for statistics from then on.

7.4 Confidentiality. We treat Lease Data as your confidential information and use it only as this section allows. We disclose it only to the subprocessors on our subprocessor list, who are bound by confidentiality and security obligations, or where the law requires, in which case we will tell you first unless the law or a court order forbids it (for example, an order under 18 U.S.C. § 2705(b)). We do not sell Lease Data, use it for advertising, or use it to train AI models.

7.5 Your authority. Each time you upload, you confirm that you are authorised to upload the document for the business that is party to it, and that uploading it, and allowing the uses you choose, does not breach any confidentiality clause or other obligation you owe. If you are unsure whether your lease allows a use, do not allow it.

7.6 Accuracy testing (optional). Separately from the choices in 7.2, you may agree, in writing, to let us keep a copy of the lease you upload and, if you attach it, the landlord's year-end statement, for testing and measuring Ratably's accuracy. If you agree, we keep that copy, and any redacted version we make of it, for up to 3 years, use it only to test and measure Ratably's accuracy, never for our own statistics or to train any AI model, and never share it beyond Ratably and the processors on our subprocessor list. You can withdraw this agreement at any time from your account page or by emailing support@ratably.io, and we delete your copies within 30 days. By agreeing, you confirm that your lease permits sharing it this way or that your landlord has agreed.

Redact before you upload. Leases sometimes contain personal information such as a guarantor's Social Security number or bank details. Remove anything of that kind before uploading.

How your documents are handled, and which companies process them on our behalf, is set out in the privacy policy and the subprocessor list.

8. Acceptable use

Do not use Ratably to break the law, infringe anyone's rights, upload malware, attempt to access other customers' data, scrape or resell the service, or probe our systems without written permission. Do not present our output as the work of a licensed professional.

9. Our intellectual property

The software, the site, the name Ratably, our statistics (section 7.3) and everything else we produce remain ours, except your own documents, your Lease Data (section 7.1) and your reports. You may use your reports and draft letters for your own business purposes, including editing them and sharing them with your advisers and your landlord.

10. Disclaimers

The service is provided "as is". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any finding is accurate or complete.

We make no promise about how much money you will recover, or whether you will recover anything at all.

11. Limitation of liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told such damages were possible.

Our total liability for any claim arising out of or relating to these terms or the service is limited to the greater of the fees you paid us in the 12 months before the claim arose, or $100.

Nothing here limits liability that cannot be limited by law, including for fraud. The exclusion of indirect damages does not limit section 12.

12. Indemnity

You will defend and indemnify us against claims arising from your use of the service in breach of these terms, from documents you had no right to upload, or from actions you take on the strength of a report, including anything you send to your landlord. This includes claims by a landlord or anyone else that your upload, or a use you chose, breached an obligation you owed them or constituted an unauthorized disclosure of trade secrets or confidential lease covenants. It also includes a claim by your landlord or any other party to the lease that your upload of the lease to Ratably breached a confidentiality obligation you owed them.

13. Term, suspension and termination

These terms apply for as long as you have an account. You may stop using Ratably and close your account at any time, under Your account when you are signed in, or by writing to support@ratably.io. We may suspend or end access for breach of these terms, for non-payment, or if required by law. Unused check credits are not refundable on termination for breach.

Sections 6, 7 and 9 to 15 survive termination.

14. Changes

We may change these terms. If a change is material we will tell account holders by email before it takes effect. The Terms version in force when you purchased a check credit governs its pricing, credit quantities, expiration and refund rights. Section 7 and the Privacy Policy in force on the date you upload a document govern the processing, storage and confidentiality of that upload. Continuing to use Ratably after a change takes effect means you accept the new terms. A change that widens how we use Lease Data you have already given us applies to it only if you agree.

15. Governing law, venue, jury and class waivers

These terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules.

Exclusive venue for any dispute is the state or federal courts located in Denver, Colorado, and both parties consent to personal jurisdiction there.

Jury waiver. To the fullest extent the law allows, both parties waive any right to a jury trial.

Class waiver. Claims must be brought individually. Neither party may bring a claim as a plaintiff or class member in a class, collective or representative action. If this waiver is held unenforceable, this section 15 does not apply to that claim.

16. Notices

Legal notices to us go to support@ratably.io and to Eminence Technologies LLC, 1500 N Grant St, Ste N, Denver, CO 80203. We send notices to the email address on your account.

17. The rest

These terms, the refund policy and the privacy policy are the entire agreement between us about the service. If any part is held unenforceable, the rest stands. Not enforcing something once does not waive it. You may not assign these terms without our consent; we may assign them to a successor to our business.
